We all know (or at least we should know) what the company’s website should contain according to the GDPR – cookies, pop-ups, privacy policy, consents…
In addition to comply the website with the General data Protection Regulation, the Company Act also prescribes what a business website and business document (memorandum) should contain. According to the Companies Act, the NN 130/23 Article 21 the website should contain the following information.
- Company name and address of the company’s headquarters, and company form (Ltd., Inc..)
- Brief description of the company’s activities,
- Amount of share capital indicating that it has been paid in full or with an indication of which part has not been paid,
- Name of the commercial court with which the company is registered,
- Information on the company’s financial accounts – company and registered office of legal persons with which the company’s financial accounts are kept, and account numbers,
- Surnames and at least one name of the members of the management board, and in the case of the joint stock company, the name of the chairman of the supervisory board,
- The total number of issued shares should also be indicated in the joint stock company.
Business document (memorandum), in addition to being visually representative and recognisable, should also contain certain data. If the company is just establishing a relationship with the parties or doing business occasionally, then the memorandum should highlight the information as well as on the website. If it is a continuous cooperation, basic information such as the name of the company and the address of the company’s headquarters are sufficient. We place the necessary information in the header and footer of the memorandum.
